(“Contest”)

OFFICIAL CONTEST RULES AND REGULATIONS

(“Contest Rules”)

NO PURCHASE OF ANY KIND IS NECESSARY TO ENTER OR WIN. MAKING A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

Entry into this Contest by submitting an entry form in relation thereto constitutes your acceptance of these Contest Rules.

1. INTRODUCTION / SPONSORS: The Contest is sponsored by The Virmani Foundation (the “Sponsor”). The Sponsor, by way of the Contest, desires to reward and support those who demonstrate superior musical talent and economic hardship.

2. PARTICIPANT ELIGIBILITY: In these Contest Rules, those person(s) who are eligible to participate in the Contest are referred to as each a “Contestant” and collectively the “Contestants”. By participating in this Contest, Contestants acknowledge compliance with, and agree to be bound by, these Contest Rules, including but not limited to the eligibility requirements set out herein. Contestants who do not comply with any of the Contest Rules are subject to disqualification by the Sponsor, in the Sponsor’s sole discretion. The Contest is open to legal residents of Canada, excluding Quebec, residing within the territorial boundaries of the Greater Toronto Area, between the ages of 17 and 25, with the exception of: employees of the Sponsor, its parent, related and affiliated companies, subsidiaries, franchisees, suppliers, advertising and promotional agencies, contest administrators, and any other parties engaged in the development, production or distribution of Contest materials, and members of the immediate family (spouse, parent, siblings and children) and those living in the same household as the foregoing. There will be a special geographical exception made for members of Canada’s indigenous community who wish to participate in the competition on the basis of their location on reservations outside the GTA. The Virmani Foundation strives for the inclusion of all races and creeds and has granted this exception so as to not disadvantage members of this community. In order to be eligible for the Contest, Contestants must demonstrate economic hardship as follows: Contestants’ household income must be less than Seventeen Thousand Canadian Dollars (CAD $17,000) per annum per person living in said household for the year of 2018 (“Economic Hardship Requirement”). It is a condition of entry and participation in the Contest that the Contestant has not entered into any contract, commercial sponsorship or other arrangements in respect of his/her musical or performing abilities or the products thereof or in respect of his/her name, likeness, image or biography which might be in breach of any of the Contest Rules or Winner Release. These agreements may prevent the Contestant from participating in the Contest or the broadcast, promotion, or sponsorship thereof. This includes any and all professional engagements and arrangements with any other organization not referred to in this paragraph but excludes engagements made to educational institutions to which the Contestant may belong.

3. HOW TO ENTER / CONTEST DATES AND TIMES: In order to enter the Contest, Contestants must submit the following, within the Application Window, both through the Contest online application portal (https://www.virmanifoundation.com/application-page/) as well as by mailing signed originals thereof to [37 Colonial Crescent, Oakville ON, L6J4K8]:

(i) A validly signed Entry Form [https://www.virmanifoundation.com/application-page/], Contestant Release / Declaration of Eligibility and Liability/Publicity Release Form and valid photo ID and proof of age. No Contestant will be permitted into the Live Audition without having submitted the foregoing;

(ii) A personal statement illustrating economic hardship and demonstrated musical talent and interest in pursuing further musical education. Contestants may provide supporting documentation to bolster their personal statement;

(iii) Income statements to demonstrate the Economic Hardship Requirement; and

(iv) Upload a video performance of no more than 1:30 minutes, which showcases Contestant’s musical talent ( with or without musical accompaniment) (“Video Audition”). The window (“Application Window”) to enter the Contest by submission of the required documents set out above through the Portal begins on [September] [1st], [2018] at 11:59:59 p.m. [EST] time (“Launch Date”) and ends on [December] [1st], [2018] at 11:59:59 p.m. [EST] time (“Close Date”) [NTD: THE CLOSE DATE WILL BE 3 MONTHS FROM LAUNCH DATE], after which time the Contest will be closed and no further entries shall be accepted. Proof of transmission (screenshots or captures, etc.) does not constitute proof of receipt. The sole determinant of time for the purpose of a receipt of a valid entry will be the Sponsor’s server machine. Any attempt or suspected attempt to use robotic, automatic, programmed, or otherwise, illicit means to enter the Contest, or any other methods not authorized by these Contest Rules, for example, but not limited to, creating multiple accounts, identities, or registrations, all in the Sponsor’s sole discretion, shall be deemed as tampering and may disqualify you from entering, participating and/or winning a prize. Entry forms that contain false or incomplete information may be void. Entries that are late, lost, stolen, illegible, contain false information, are damaged, misdirected, mutilated, garbled or incomplete, altered or otherwise irregular or that do not conform with or satisfy any or all of the conditions of the Contest Rules will be deemed void. All entries become the property of the Sponsor upon receipt and none will be returned. No correspondence will be entered into except with selected Contestants.

4. CONTEST STAGES:

I. The General Elimination Stage: After Contestants have entered into the Contest and the Application Window has closed, the Video Auditions and applications will be reviewed by Sponsor and its representatives based on the strength of the application given the criteria herein, and a shortlist of TWENTY-FIVE (25) Contestants (“Shortlisted Contestants”) will be selected by the Sponsor and the producers to proceed to the next stage of the Contest and notified accordingly. Any and all Contestants’ Video Auditions may be uploaded to the Contest’s and/or Sponsor’s website, YouTube Channel and/or otherwise used in connection with the exhibition, promotion and/or advertising of the Contest or future iterations thereof.

II. Live Audition Stage: At this stage, the Shortlisted Contestants will be given the opportunity to perform a live audition (“Live Audition”) in front of the Contest judges to be appointed by the Sponsor in Sponsor’s sole discretion (“Judges”). Contestants will be required to perform a song of their choosing WITHOUT musical accompaniment. These Live Auditions will be subject to a time limit of 1 minute and 30 seconds to be extended in the Judges’ discretion. The Judges will select FIVE (5) Contestants (“Finalists”) to advance to the final stage of the Contest.

III. Final Competition Event: This event is scheduled as the final stage of the Contest, where the five Finalists will perform in front of the Judges and a live audience with musical accompaniment for a chance to win the Prize. Contestants will be judged by the Judges primarily on their vocal ability, their creativity in delivering their performances and audience appreciation and engagement. Based on the foregoing, the Judges will award each Finalist a ranking (i.e., first, second, third, fourth or fifth place winner) (each a “Winner” and collectively the “Winners”). Each Winner, depending on their rank awarded, will be awarded a prize as specified below (each a “Prize” and collectively the “Prizes”). In the event of a tie the final determination of the winner will be referred to Mrs. Monica Virmani and her appointed counsel.

5. ADDITIONAL PARTICIPANT REQUIREMENTS: Contestants must make themselves available to participate in the Contest, and all stages thereof. As part of the Contestants’ participation in the Contest, the Sponsor may request Contestants to participate in additional activities relating to the Contest including without limitation web-casts, pod-casts, blogs, video diaries, chat rooms and SMS chats. This also applies to various interviews, appearances, promotional, publicity, sponsorship and merchandising activities in any and all media. In addition, the Winners will be required to participate in, and support the contestants of, succeeding contests, including without limitation attending and participating in at least one event of each future iteration of the Contest. This “support” may be in the form of a performance aimed at encouraging future contestants in their efforts.

6. CONTEST PRIZES: The Winners will be awarded the following Prizes, depending on the Winner’s ranking:

FIRST PLACE: $10,000 CDN

SECOND PLACE: $7,500 CDN

THIRD PLACE: $2,500 CDN

FOURTH PLACE: $500 CDN

FIFTH PLACE: $500 CDN

SPECIAL ABORIGINAL CATEGORY: $5000 CDN

Taxes, if any, are the responsibility of the Winners. All Winners assume any and all liability for any injury or damage caused, or claimed to be caused, by entering, participating in this promotion or use or redemption of a prize. The Prizes are non-transferable, non-refundable and non-changeable once issued, must be accepted as awarded and have no cash value. The prizes (or any portion thereof) cannot be combined with other discounts, promotions or special offers. Winners may not transfer, modify, or substitute any prizes. Sponsor reserves the right to substitute an alternate prize of equal or greater value if advertised prize is unavailable at time of award. Limit one prize per person, per entrant, and per e-mail address.

7. ODDS OF WINNING: The odds of winning depend on number of eligible entrants, and strength of musical talent, demonstrated interest in musical training and economic hardship.

8. WINNER SELECTION AND CONFIRMATION: Sponsor and producers will select the Shortlisted Contestants and notify them within Two (2) months from the Close Date at which point the Shortlisted Contestants will receive their respective dates for the Live Audition. Judges will select the Finalists and notify them within 1 months from the Live Audition. Once the Finalists are selected, Sponsor will provide them with training and coaching for Three (3) months (at a schedule to be determined by Sponsor in its sole discretion) in connection with performing at and leading up to the Final Competition Event. Judges will select the first, second, third, fourth and fifth place Winners and notify them within 1 month from the Final Competition Event. The Winners will have 1 month from receipt of their respective Prizes to commence their respective musical training as awarded. The Winners will be narrowed down through the stages of the Contest and selected based on the strength of the Contestant’s “overall package” as a vocalist, musician and performer reflecting a combination of factors, such as application criteria being satisfied, musical talent and skill, demonstrated interest in musical training, vocal range, marketability, charisma, stage presence and economic hardship. musical talent and demonstrated interest in musical training, economic hardship and the strength of all eligibility criteria provided herein. The decisions will be final. If a selected Contestant (at any stage of the Contest) does not meet the eligibility criteria set out herein, he/she will be disqualified and will not move onto the next stage of the Contest or receive a prize as applicable, and the next runner-up Contestant will be selected to take the disqualified Contestant’s place. THE SELECTED CONTESTANTS WILL BE NOTIFIED BY E-MAIL OR MAIL WITHIN ONE (1) BUSINESS DAY OF BEING SELECTED. The selected Contestants will be contacted using the e-mail address and address provided at the time of entry into the Contest. Upon notification, a selected Contestant must respond by e-mail within one (1) business day. If a selected Contestant does not respond in accordance with these Contest Rules, he/she will be disqualified and will not move onto the next stage of the Contest or receive a prize as applicable, and the next runner-up Contestant will be selected to take the disqualified Contestant’s place. The Sponsor is not responsible for the failure for any reason whatsoever of a selected Contestant to receive notification or for the Sponsor to receive a selected Contestant’s response. Disputes regarding identity of Contestant: If the identity of a selected Contestant entering electronically is disputed, the entry will be deemed to have been submitted by the Authorized Account Holder (the individual assigned to the e-mail address for the domain associated with the submitted e-mail address). Each selected Contestant may be required to provide proof that he/she is the Authorized Account Holder of the e-mail address associated with the selected entry. Failure to provide proof of identity and/or eligibility within a reasonable time could result in disqualification from the Contest.

9. RELEASE AND INDEMNIFICATION: As a condition of being deemed a winner of the Contest, and prior to receiving any Prize, each Winner must sign a Winner Release / Declaration of Eligibility and Liability/Publicity Release form to: (i) confirm compliance with the Contest Rules; (ii) agree to accept the Prize as awarded; (iii) release, discharge and hold harmless the Sponsor, its departments and agencies, parent, related and affiliated companies, subsidiaries, franchisees, advertising and promotional agencies, counsel, marketing partners and each of their respective directors, officers, employees, shareholders, successors, sponsors, partners, licensees, subsidiaries, agents, artists, advisors, assignees, and all others associated with the administration, development and execution of the Contest (“Released Parties”), from and against any and all manner of action, cause of action, claim or demand, loss or injury, use or misuse of a prize, suit, debt, covenant, contract, including legal fees and expenses, whatsoever, including but not limited to, claims based on negligence, breach of contract and fundamental breach, failure of any third party contractor or supplier used in connection with any aspect of the Contest to perform or deliver any goods or services, any act of God or any other event beyond the Released Parties’ control, any dissatisfaction of any kind by a winner with any aspect of the Contest or any prize, liability for physical injury, death, or property damage which the Contestants, their heirs, successors or assigns have, might have or could have suffered, by reason of or arising out of the Contestant’s participation in the Contest and/or in connection with the acceptance and/or exercise by the Contestant of the Prizes as awarded; and (iv) indemnify the Released Parties against any loss, damage or expense, including legal fees, that any of the Released Parties may suffer or incur as a result of any non-compliance by an Contestant with any of the Contest Rules or participation in the Contest and/or in connection with the acceptance and/or exercise by an Contestant of a Prize. The Sponsor is not responsible for:

(i) incorrect or inaccurate entry information which may affect a person’s ability to participate in the Contest or be awarded a prize, including but not limited to human error, technical malfunctions, lost or delayed entries for any reason, mail failures, omission, or any combination thereof, and entries which fail to fully comply with these Contest Rules;

(ii) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software;

(iii) lost, incomplete, delayed, mutilated or misdirected entries or forms required to be submitted hereunder;

(iv) injury or damage to the Contestant’s computer or to any other individual’s computer related to or resulting from participating in, or downloading any material regarding the Contest or accepting a prize;

(v) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Contestant’s participation in the Contest or receipt or use or misuse of any prize;

(vi) the security or privacy of information transmitted via computer networks or for breaches of privacy due to interference by third party computer “hackers” or otherwise; or (vii) late, lost, misdirected or unsuccessful efforts to notify a potential winner.

10. CONDUCT: The Sponsor reserves the right, in its sole discretion, to disqualify any Contestant it finds to be: (i) violating these Contest Rules; (ii) tampering or attempting to tamper with the entry process or the operation of the Contest; (iii) acting in an un-sportsperson-like or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person. Any attempt by a Contestant or any other individual to undermine the legitimate operation of the Contest may be a violation of criminal and/or civil laws. Should any such attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law.

11. OTHER CONDITIONS: The Sponsor reserves the right to terminate or amend this Contest at any time and in any way, without prior notice. Without limiting the foregoing, if, for any reason, the Contest is not capable of running as originally planned, such as tampering, the Sponsor reserves the right to cancel the Contest and select a winner based on the winner selection criteria above based on all eligible entries received by the Contest Close Date. The Sponsor reserves the right to change the structure of the Contest as required, without limitation, adding or deleting auditions/stages/Contestants to the Contest and/or requesting additional performances from the Contestant and/or changing the anticipated schedule. The Sponsor reserves the right to ask the Contestant to perform a specified song or song from a specified genre of its own choice. At all times during the Contest the Sponsor reserves the right of veto over the choice of song for such reasons such as profanity, racist, derogatory or divisive lyrics, even where Contestants are permitted to select the song they wish to perform. Publicity: By participating in the Contest, Contestants consent to the use of their name, comments, city/town and province/territory of residence, voice, likeness, image on videotape, photograph or other means in any publicity carried out by the Sponsor with respect to this Contest, without further notice or compensation. All Contestants agree that the Sponsor and its agents can use, and distribute, in any media whatsoever, including without limitation the Internet, now known or hereafter created, worldwide in perpetuity, the Contestant’s audition(s), performances and appearances, the Contestant’s comments and the Contestant’s name, likeness, image or voice without any further consent or compensation of any nature or kind. Further, all individuals who attend at the Live Audition, who do not become Contestants (including family, friends or any other individual accompanying a Contestant) (“Other Individuals”), agree that the Sponsor and its agents can use, exploit and distribute in any media whatsoever, including without limitation the Internet, now known or hereafter created, worldwide in perpetuity, the individual’s comments and name, likeness, image or voice without any further consent or compensation of any nature or kind. All Contestants and Other Individuals agree to waive any and all copyright interest, of any nature or kind, they may have in their comments, audition(s), performances and appearances, including without limitation any moral rights in the foregoing. Law: The Contest is void in Quebec and where prohibited by law and is subject to all applicable Canadian federal, provincial, territorial, municipal and local laws. The Contest and these Contest Rules shall be governed exclusively by the laws of the province of Ontario and the federal laws of Canada applicable therein, and any dispute shall be adjudicated by the courts sitting in Toronto, Ontario. Privacy: By entering into the Contest, Contestant agrees that Sponsor may collect Contestant’s name, address, phone number and e-mail address to administer his/her participation in the Contest and for Contest promotional purposes. A Contestant’s name and contact information is collected by the Sponsor solely for the purposes of administering and promoting this Contest (and any future iterations thereof) and shall not be used for any other purpose without Contestant’s express consent. The Sponsor reserves the right, in its sole discretion, to amend or modify these Contest Rules, or modify, cancel or suspend this Contest, without prior notice for any reason whatsoever, including without limitation in the event that any cause beyond the reasonable control of the Sponsor corrupts, or threatens to corrupt, the security or proper administration of the Contest. Contestants must not at any stage of the Contest discuss with or take advice from any or all of the Judges on any matters relating to their participation in the Contest including, without limitation tips or advice relating to their performance, appearance or choice of song, except during the live audition, or Final Competition Event. Contestants shall keep any and all information regarding the Contest completely confidential. Contestants are prohibited from conducting any interviews or providing any comment or information to the public and the media without the consent of the Sponsor, including without limitation, information regarding the outcome of the Live Audition or any stage of the Contest. This also applies to the performances of any Contestant including their own performance and any and all comments of the Judges or Sponsor. Intellectual Property: All intellectual property, including but not limited to trademarks, logos, designs, promotional materials, web pages, source codes, images, drawings, illustrations, slogans and representations are individually owned by the Sponsor. All rights are reserved. Unauthorized copying or use of any copyrighted material or other intellectual property without the express written consent of the Sponsor is strictly prohibited. By entering and participating in this Contest, Contestants warrant that any entry is original and does not infringe any third party intellectual property and agree to assign all intellectual property rights in any materials created to participate and enter the contest to the Sponsor, including, but not limited to, copyright and all economic and moral rights, with no compensation or further consent required.
